ConvinceIQ Affiliate Program Terms

The full terms of the ConvinceIQ affiliate program. These are the terms every affiliate accepts when applying, and the ones we hold ourselves to.

1. Who these terms are between

These terms govern your participation in the ConvinceIQ Affiliate Program. They are an agreement between you (the "Affiliate") and Newkonomy Limited, the company that operates ConvinceIQ ("ConvinceIQ", "we", "us").

By submitting an affiliate application you confirm that you have read and accept these terms, and that you are at least 18 years old and able to enter into a binding agreement.

2. Applying and being accepted

Applying does not make you an affiliate. We review every application and may accept or decline it at our discretion, without giving reasons. You become an affiliate only when we confirm your acceptance by email and issue you a partner code.

The program is not open to everyone. You are not eligible if you are an employee, officer, or contractor of ConvinceIQ or Newkonomy Limited, or a member of their immediate household; if you are an employee, officer, or contractor of one of our partners, resellers, or distributors; or if taking part would conflict with another agreement you or your employer already has with us. These roles are already compensated for the sales they influence, and the program is not a second route to the same money.

You must tell us if this changes — if you join us, a partner, or a reseller while you are an affiliate, your participation ends from that date. Commission earned before then is still paid; commission earned while ineligible is not, and may be reversed.

You must give accurate information in your application and keep it up to date. We may suspend or end your participation if the information you gave was materially inaccurate.

3. Your partner code and referral link

On acceptance we issue you a unique partner code and a referral link. They are personal to you and may not be transferred, sold, or shared with another person or business.

You may use them in your own channels — your website, newsletter, social posts, community, client work, and similar — in line with section 6.

4. How referrals are attributed

When someone follows your referral link we store a first-party cookie in their browser for 60 days, containing only your partner code. If they purchase a ConvinceIQ subscription online within that period, the purchase is attributed to you. Where more than one affiliate link has been followed, the most recent one is credited.

For sales handled by our sales team, attribution depends on your partner code being given to us — for example entered on the demo booking form — before the deal closes.

Attribution depends on technology neither party fully controls. Cookies can be declined, cleared, blocked, or lost when a buyer switches device or browser. We credit what our systems record, and we cannot credit referrals our systems did not capture.

5. Commission and payment

  • Online (self-serve) purchases: 25% of what the referred customer actually pays during their first 12 months as a customer.
  • Sales-led and Enterprise deals: 10% of first-year contract value, calculated on licence fees only and excluding implementation, onboarding, services, and pass-through costs.
  • Commission is calculated on amounts we have actually collected, net of discounts, and does not include taxes we collect and remit.
  • Commission is calculated and paid in the currency we collected from the customer, so a referral may earn you more than one currency. Each is paid separately.
  • Commission is paid monthly by PayPal, on NET-60 terms after the month in which we collect the payment, with a minimum payout of the equivalent of US$50 per currency. Balances below the minimum roll forward.
  • Your first payout is released 120 days after the first payment we collect from a customer you referred. This is a one-time settlement window that protects both of us against payments reversed after the fact; once it has passed, all later commission follows the normal NET-60 schedule.
  • We can only pay you once you have supplied valid payout details. We are not responsible for payments delayed or lost because the details you gave were incorrect.
  • You are responsible for your own taxes, and for any registration or reporting obligations that apply where you live or operate. Commission amounts are stated exclusive of any applicable taxes.

6. What you must not do

The following void the commission on any affected transaction and may end your participation:

  • Self-referral — earning commission on subscriptions for you, your own company, your workspace, or any billing identity you control.
  • Bidding on ConvinceIQ brand terms, or close variants and misspellings, in paid search; or running ads that appear to originate from us.
  • Posting your code or link to coupon, deal, or voucher aggregator sites.
  • Presenting yourself as ConvinceIQ, or creating accounts, pages, or profiles that could be mistaken for ours.
  • Making claims about ConvinceIQ that we have not published — about capabilities, pricing, performance, security, or customers.
  • Unsolicited bulk messaging, or any promotion that breaches applicable marketing, privacy, or consumer-protection law.
  • Modifying our name, logo, or other brand assets, or using them outside the guidance we provide.

7. Refunds, chargebacks, and adjustments

Commission follows the money. If a payment is refunded, reversed, charged back, or found to be fraudulent, the related commission is reversed and deducted from your next payout, or invoiced back to you if no further payout is due.

While a customer payment is under dispute with their card issuer, the commission on it is held rather than paid. If the dispute is resolved in our favour the commission is released on the normal schedule; if it is not, the commission is reversed. This is not a suggestion of any wrongdoing by you — it is simply that the money has not settled.

We may correct commission that was calculated or attributed incorrectly, in either direction. Corrections are posted as visible entries against your account rather than by altering earlier figures, so you can always see what changed and why. If a correction reduces a balance we have already paid you, it is offset against future commission.

We may withhold payment while we investigate suspected fraud or a breach of section 6.

8. Your relationship with us

You take part as an independent contractor. Nothing here creates an employment relationship, partnership, joint venture, or agency, and neither party may bind or incur obligations for the other.

You are responsible for your own costs of taking part.

9. Personal data

Each party is responsible for its own compliance with applicable data-protection law. We process the information in your application and payout details to run the program — see our Privacy Policy for how we handle personal data.

You must not collect personal data from prospective customers on our behalf, or represent that you are doing so.

10. Changing the program

We may change these terms, the commission rates, or the structure of the program. We will give at least 30 days' notice by email of any change that reduces commission rates or materially reduces your rights.

Changes are not retroactive: commission already earned before a change takes effect is paid on the terms that applied when it was earned. Continuing to promote ConvinceIQ after a change takes effect means you accept the updated terms.

11. Ending participation

Either of us may end your participation at any time on 30 days' notice. We may end it immediately, and withhold unpaid commission, if you breach section 6 or act fraudulently.

On ending, you must stop using your partner code, referral link, and our brand assets. Commission properly earned before that date is paid on the normal schedule, subject to the minimum payout.

12. No warranties, and limits on liability

The program is provided as-is. We do not guarantee any level of traffic, conversion, earnings, or continued availability of the program or of tracking.

To the extent the law allows, neither party is liable for indirect or consequential loss, or for lost profits or revenue. Our total liability arising out of the program is limited to the commission payable to you in the 12 months before the event giving rise to the claim.

Nothing in these terms excludes liability that cannot lawfully be excluded.

13. Governing law

These terms are governed by the laws of the Hong Kong Special Administrative Region, and the courts of Hong Kong have exclusive jurisdiction over any dispute arising from them.

14. General

These terms are the entire agreement between us about the program and replace any earlier discussion about it. If any part is found unenforceable, the rest continues to apply. A delay in enforcing a right is not a waiver of it.

These terms are written in English. Where they are translated, the English version governs in the event of any inconsistency.
